Carrier Agreement

This Agreement is a public offer by the Provider to carriers to use the Poihaly Platform on the terms below. Registering a company on the Platform constitutes full and unconditional acceptance of these terms.

1. Definitions

Provider — Ivan Obodianskyi, a sole trader registered in Poland (CEIDG), NIP 5223295851, REGON 528428640, address: ul. Zdzisława Beksińskiego 6/38, 03-184 Warszawa, Polska; owner of the Platform.

Carrier — a business that operates passenger transport and has registered a company on the Platform.

Platform — the Poihaly service: CRM, Personal page and Marketplace.

CRM — the Carrier’s cabinet for routes, schedule, departures, sales, fleet and staff.

Personal page — the Carrier’s page on the Platform with its routes and ticket sales, launched and promoted by the Carrier.

Marketplace — public ticket search and sales on poihaly.com.

Ticket price — the amount the passenger pays for a ticket, after discounts.

2. Subject

The Provider gives the Carrier access to the CRM, the option to launch a Personal page and to sell tickets through the Marketplace; the Carrier pays the subscription fee and commission under this Agreement.

The contract of carriage is concluded between the passenger and the Carrier. The Provider is not a carrier and acts as a technical intermediary.

3. CRM subscription fee

The CRM subscription fee is: Start plan (up to 5 routes) — 9.99 euros per month; Business plan (unlimited routes) — 19.99 euros per month. For Carriers registered in Poland — 49 and 99 złoty per month respectively. Departures and users are unlimited on both plans.

The first month after registration is free. After that, the fee is charged monthly in advance to the bank card the Carrier saved in the CRM; payments are processed by Stripe. The Carrier may change plans at any time; adding a sixth route on the Start plan requires switching to Business.

The fee is charged in the plan’s currency: złoty for Carriers in Poland, euro for everyone else.

The Provider is not a VAT payer, so the subscription fee and commission amounts are final — no VAT is added to them.

4. Commission on bookings through the Personal page

For each booking a passenger makes through the Carrier’s Personal page, the Provider receives a commission of 0.1% of the Ticket price.

5. Commission on Marketplace sales

For each ticket sold through the Marketplace, the Provider receives a commission of 15% of the Ticket price.

The Carrier sets the passenger price. The Provider adds no fees of its own — the commission is included in the Ticket price.

6. Settlement

When the Provider collects the ticket payment, the commission is withheld from the amount transferred to the Carrier.

When the Carrier collects the payment directly (including cash to the driver), the Provider invoices the commission at the end of each calendar month, payable within 10 banking days.

Sales made by the Carrier’s staff through the CRM cash desk carry no commission — they are covered by the subscription fee.

7. Refunds

No commission is charged on amounts refunded to passengers. If a ticket is refunded after the commission was charged, it is adjusted in the next settlement.

Refund rules for passengers are set by the Carrier in line with applicable law.

8. Obligations

The Carrier holds all required licences and permits, keeps schedules, prices and vehicle data up to date, operates booked departures and is solely responsible to passengers for the carriage.

The Provider keeps the Platform running, passes booking data to the Carrier and reports the commission charged.

9. Liability

The Provider is not liable for cancellations, delays or other breaches of carriage by the Carrier, nor for the consequences of inaccurate data entered by the Carrier.

If the subscription fee or commission is unpaid, the Provider may restrict the Carrier’s access to the Platform until the debt is settled.

10. Price changes and term

The Provider may change the pricing by notifying the Carrier at least 30 days before the change takes effect.

The Agreement is effective from the company’s registration on the Platform until terminated. The Carrier may stop using the Platform at any time; the fee paid for the current month is not refunded.

11. Personal data

The Carrier is a separate controller of the passenger personal data it receives through the Platform and must process it lawfully, only to perform the carriage, and with an appropriate level of security.

12. Governing law and disputes

This Agreement is governed by the law of the Republic of Poland.

Disputes arising from this Agreement are resolved by the court competent for the Provider’s seat (Warsaw).

13. Language versions

This Agreement is made in Ukrainian, English and Polish. In case of discrepancies between the language versions, the Polish version prevails.
